Terms of Service

1. Agreement to Terms

By accessing or using AdminZero ("the Service"), operated by AdminZero (ABN: [to be registered]) ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including the website at getadminzero.com and the application at app.getadminzero.com.

2. Description of Service

AdminZero is an AI-powered back-office platform for sole traders, freelancers, and small businesses. The Service provides tools for invoicing, expense tracking, payment reminders, tax estimation, bank feed integration, cash flow forecasting, contract generation, and subcontractor management.

AdminZero is a financial information and management tool. It is not a registered tax agent, financial adviser, or accounting firm. The Service does not provide tax advice, financial advice, or legal advice.

3. Account Registration

To use AdminZero, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorised use of your account

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service.

4. Subscription Plans and Billing

4.1 Free and Paid Plans

AdminZero offers a free Starter plan with limited features, and paid plans (Solo, Pro, Business) with additional capabilities. Plan details and pricing are available at getadminzero.com/pricing. All prices are in Australian Dollars (AUD) unless otherwise stated.

4.2 Billing

Paid plans are billed in advance on a monthly or annual basis through Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis. You can manage your subscription and payment details through your account settings.

4.3 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and you will be charged a prorated amount. Downgrades take effect at the end of your current billing period.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you will continue to have access to paid features until then. Annual plans are eligible for a pro-rata refund if cancelled within the first 30 days. After 30 days, annual plans are non-refundable but you retain access for the remainder of the paid period.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation, including tax laws, anti-money laundering laws, and the Spam Act 2003
• Send fraudulent invoices or misrepresent financial information
• Upload malicious files, viruses, or harmful code
• Attempt to access another user's account or data
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send unsolicited commercial communications (spam)
• Use automated tools to scrape, crawl, or extract data from the Service
• Resell or redistribute the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these terms.

6. Your Data and Content

6.1 Ownership

You retain full ownership of all data and content you upload to AdminZero, including invoices, expense records, receipt images, client information, and contracts. We do not claim any ownership rights over your data.

6.2 Licence to Us

By using the Service, you grant us a limited, non-exclusive licence to process, store, and display your data solely for the purpose of providing the Service to you. This licence terminates when you delete your account.

6.3 Data Export

You may export your data at any time in CSV or PDF format through the Service. We will never hold your data hostage.

6.4 Data Security

We implement industry-standard security measures (AES-256 encryption at rest, TLS 1.3 in transit) to protect your data. For full details, see our Privacy Policy.

7. AI Features and Limitations

AdminZero uses artificial intelligence to provide features such as invoice parsing, expense categorisation, payment reminder composition, tax estimation, and the AI chat assistant. You acknowledge and agree that:

• AI outputs are generated automatically and may contain errors — you should always review AI-generated content before taking action
• Tax estimates and BAS calculations are approximations based on published ATO rates and your data — they are not tax advice
• AdminZero operates on a "draft and confirm" model — no financial action (sending an invoice, categorising an expense) is executed without your explicit confirmation
• You are responsible for verifying the accuracy of all invoices, expenses, and financial records generated by the Service
• AI-generated contracts and proposals are templates and do not constitute legal advice — consult a lawyer for legally binding agreements

8. Payment Reminders and Email Communications

AdminZero can send payment reminder emails to your clients on your behalf. By using this feature, you confirm that:

• You have a legitimate business relationship with each recipient
• The emails relate to an outstanding invoice for services you have provided
• You have reviewed and approved the reminder content before the first send
• You comply with the Spam Act 2003 and all applicable electronic messaging laws

All reminder emails include an opt-out mechanism for recipients. AdminZero is not responsible for the content of messages you customise or approve.

9. Bank Feed Integration

AdminZero integrates with bank accounts through Basiq, a CDR-compliant data intermediary. By connecting your bank:

• You authorise Basiq to access your transaction data on our behalf
• AdminZero receives read-only access — we can never initiate payments or move money
• You can disconnect your bank at any time through your account settings
• Transaction data is imported daily and processed according to our Privacy Policy

10. Intellectual Property

The AdminZero Service, including its design, code, features, branding, and documentation, is owned by AdminZero and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written consent.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Without limiting the foregoing:

• Not tax advice: AdminZero is not a registered tax agent. Tax estimates, BAS calculations, and deduction suggestions are for informational purposes only. Always consult a registered tax agent for specific tax advice.
• Not financial advice: Cash flow forecasts, revenue projections, and financial insights are estimates based on your data and should not be relied upon as financial advice.
• Not legal advice: Contract templates and proposals generated by AdminZero are starting points and do not constitute legal advice. Consult a qualified legal professional.
• We do not guarantee that the Service will be uninterrupted, error-free, or completely secure

12. Limitation of Liability

To the maximum extent permitted by Australian law, AdminZero shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the total amount you paid to AdminZero in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.

13. Indemnification

You agree to indemnify and hold harmless AdminZero, its officers, directors, and employees from any claims, damages, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or regulation; or (d) invoices, contracts, or communications you send through the Service.

14. Account Termination

You may close your account at any time through your account settings or by contacting us. We may suspend or terminate your account if you violate these Terms or engage in fraudulent or abusive behaviour.

Upon account closure: (a) your subscription is cancelled; (b) you may export your data for up to 30 days; (c) after 30 days, your personal data is permanently deleted, except where retention is required by law.

15. Governing Law

These Terms are governed by the laws of the State of New South Wales, Australia. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New South Wales.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on the Service at least 14 days before they take effect. Your continued use of AdminZero after the updated Terms take effect constitutes acceptance.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
